DUEDIQUATTRO, IL COLLABORATORIO

Articolo 1: Costituzione

1. E’ costituita l’associazione denominata ‘ Duediquattro, il Collaboratorio ’.

Articolo 2: Sede

1. L’associazione ha sede in Napoli alla Via Salvator Rosa 353 - 80125

Articolo 3: Oggetto Sociale

1. The association not for profit and exclusive aim of promoting culture in general, with particular reference to architectural and urban culture. To achieve its goals, it aims to promote cultural activities and training such as:

• events, exhibitions, conferences, lectures, debates, seminars, screenings, concerts, lectures, workshops ;

• any other activity and initiative in any way connected with the aims of the association to be undertaken with the consent of the Governing Council.

2. The association is apolitical, nonpartisan and nonsectarian.

Article 4: Assets and income of the association

1. They are the association's assets movable and immovable property which received the association in any capacity, the donations or contributions by public and private organizations or individuals, the net operating surpluses and generally the contributions of voluntary and unpaid members or third parties.

2. The Governing Council may establish annual subscription.

Article 5: The Associates

1. The association membership is free and takes place on demand for the statement to the Governing Council to share the goals that the association will and commitment to adopt and observe statutes and regulations.

2. The members shall work together to achieve the aims of the association according to their possibilities.

3. The status of associate is lost by resignation, death or deliberate exclusion from the Governing Council.

Article 6: Organs of the

1. They are organs of the General Meeting and the Governing Council.

2. The board consists of president, vice president and advisers.

Article 7: Assembly

1. The assembly is composed of all members.

2. The Assembly shall meet at least once a year to approve the final budget. It also:

a) shall appoint of the Board;

b) outlines the general direction of the association;

c) decide on amendments to this Statute;

d) approve the regulations governing the conduct of the association;

s) acting on the allocation of any earnings management, however described, as well as funds, reserves or capital during the life of the association, if this is allowed by law or by statute;

f) decide the dissolution and liquidation of the association and the disposal of its property.

3. The meeting is called by the President whenever he deems it appropriate, or request is made at least three fourths of the members or a majority of councilors.

Article 8: The Board

1. The association is managed by a board consisting of not less than two nor more than four directors elected by the members themselves as partners, for a term of office of three years, always renewable.

2. The Board is vested with the powers of management.

3. The deliberations of the Governing Council shall be taken unanimously.

4. The Governing Council from among its members president and vice president.

5. The Board is convened by the President whenever he deems it necessary or is requested by a majority of the directors.

Article 9: The President

1. The President is appointed by the Governing Council from among its members for a three-year term, renewable forever.

2. In it the president of the association representation before third parties, and even in court. Deliberation by the Board, the President may assign the representation of the association even to strangers to the board itself for individual transactions.

3. Articolo 10: Il vicepresidente

1. Il vicepresidente sostituisce il presidente in ogni sua attribuzione quando questi sia impedito all’esercizio delle proprie funzioni. Il solo intervento del vicepresidente costituisce per i terzi prova dell’impedimento del presidente.

Articolo 11: Avanzi di gestione

1. All’associazione è vietato distribuire tra gli associati, anche in modo indiretto, utili o avanzi di gestione comunque denominati, nonché fondi, riserve o capitale durante la vita dell’associazione stessa, a meno che la allocation or distribution is required by law.

Article 12: Dissolution

Article 13: Applicable law

1. To regulate what is not specified in this Statute, reference is made to the rules of the Civil Code.

Article 14: Duration

The duration of the association is unlimited.
